This is what you do as a Legal Counsel
This position falls within the Dutch legal team of Aegon Asset Management at our international office in The Hague. The Dutch team currently consists of 11 employees. The Dutch legal team, together with teams of lawyers in the United Kingdom and the United States, forms the Global Legal Department. There is a lot of mutual contact between the teams and over the years the teams have become increasingly integrated. Legal advises on a variety of legal matters, including corporate law, governance aspects and privacy and data protection law. In addition, Legal provides support in M&A transactions, reviews and assists in investments in a range of financial propositions and is involved in commercial contracting regarding (global) procurement initiatives.
You will work in a regulated and international environment, in collaboration with (senior) legal counsels and colleagues from various other professional teams within Aegon Asset Management.
Role and Responsibilities
Providing contract support (supplier, reseller, distributor, property etc.) across the globe, ensuring that contracts meet terms in accordance with the guard rails implemented, or appropriate approvals have been obtained.
Commercial contracting: prepare and review (proposals for) various contracts, including service level agreements and data processing agreements, support the (Global) Procurement Department in drafting and negotiating contracts, including a focus on Data Management and Corporate Housekeeping.
Advice: provide advice to (middle) management as requested as well as at one’s own initiative on various legal and regulatory matters, in order to enable informed decision making by (middle) management.
External contacts: Advise external legal advisors when needed and lead such advisors in a cost-efficient way.
Immediate interaction with middle management and Head of Legal: translate legal positions into clear mentorship to middle management.
The Legal Counsel deals with more standard cases autonomously and independently. Works on larger or more sophisticated cases together with Senior Legal Counsel and/or Head of Legal.
Raises issues to Head of Legal where vital.
This is your future position, because you:
Have a Master’s degree in Law from preferably one of the Dutch Universities.
Are a qualified lawyer or in-house counsel with approximately 4-7 years of work experience, preferably specializing in financial law and/or contract law . Having an understanding of data privacy, and cloud contracting and (critical outsourcing) requirements is a plus but not required.
Have a deep understanding of the legal aspects of mergers and acquisitions, financial transactions, and/or corporate governance.
Worked in an international context and have experience negotiating and drafting (sophisticated) commercial agreements in English and Dutch.
Are a true teammate, and have the ability to work both as part of the Group Legal team and as part of a wider team of geographically dispersed highly skilled professionals.
Love to handle (the legal aspects of) a variety of matters, ranging from general commercial agreements and governance principles to working as part of a transaction team in relation to M&A and/or investing in financial propositions.
Are hardworking, positive, diligent, pragmatic and motivated to excel at getting things done, even with many things on your plate.
Dare to take ownership.
Have good planning, prioritization and goal setting skills; you are able to work under time pressure and able to cope with (sudden) changes.
